Strive adds 4,045 bitcoins as dilution limits exposure per share

Strive raises its reserve to 36,818 BTC after new purchases. Growth in share numbers nevertheless absorbs almost all the increase in bitcoin per security, according to its 19 October regulatory filing.

A reserve of 36,818 bitcoins

Strive continues increasing its bitcoin reserve. In a Form 8-K filed with the SEC on 19 October, the company reports purchasing 4,045 BTC between 12 and 16 October 2026 for approximately $334.9 million. The average price was $82,803 per bitcoin, including fees. As of 16 October, total holdings reached 36,818 BTC, compared with 32,773 BTC a week earlier. This increase of approximately 12.3% describes the company's reserve; it is insufficient to measure the change in each shareholder's exposure.

The acquisitions comprise two tranches: 2,822 BTC on 12 and 13 October, followed by 1,223 BTC between 14 and 16 October. Meanwhile, warrant exercises generated approximately $369.2 million in gross proceeds on 12 and 13 October, with issuance of approximately 13.7 million Class A common shares. The bitcoin cost represents close to 91% of those proceeds. However, the regulatory document does not confirm that the proceeds obtained through these warrant exercises were the funds directly used to pay for the bitcoin acquisitions: the similarity of amounts does not establish their allocation.

Dilution limits bitcoin per share

Effective common shares increased from approximately 110.39 million on 9 October to 124.06 million on 16 October. Their growth therefore accompanied the increase in bitcoin holdings. Against this base, the reserve corresponded to approximately 0.0002969 BTC per share at the start of the period and 0.0002968 BTC at the end. Despite the purchases, the ratio therefore fell approximately 0.04%. Growth in total holdings and in the number of securities must consequently be examined together to understand this measurement.

The result varies with the definition of share count used. On an assumed fully diluted basis, including certain options and employee share awards, holdings increased from approximately 28,973 to 29,039 satoshis per share. On this particular convention for calculating the number of shares, the measurement of bitcoin held per share therefore increased by approximately 0.23% over the period.

Each of these calculations uses its own convention for deciding which shares belong in the denominator. Their results must therefore remain separate rather than being mixed within a single comparison. Neither represents the share price, a return paid to holders or a guarantee of the security's future value.

A SATS issue distinct from completed purchases

On 15 October, Strive also announced pricing for an issue of 7 million SATS preferred shares at $90 each. Expected gross proceeds were approximately $630 million before commissions and expenses. The securities provide for an annual dividend rate of 15% applied to a $100 par value. Payments depend on the issue's arrangements and required board declarations. In this document dated 19 October, settlement was scheduled for 20 October 2026, subject to customary closing conditions.

The company, in its presentation of the offering, describes several possible uses for these funds: general needs, further bitcoin purchases, income-producing assets or securities repurchases. The announcement therefore does not confirm that the entire amount has been newly invested in BTC. Subsequent documents will need to distinguish acquisitions actually completed, resources obtained and the share count used to calculate ratios.
