A merger announcement with a listing still subject to conditions

tZERO and FG Imperii Acquisition Corp. announced a definitive business combination agreement on November 2, 2026, intended to take the tokenization infrastructure provider public. FG Imperii is a SPAC, a listed company created to carry out an acquisition or merger. The structure would allow tZERO to enter the public markets through this vehicle. However, the announcement concerns a contractual proposal: it means neither that the merger has been completed nor that the new stock is already available for trading.

According to the companies' release, completion is expected in early 2027. The combined company intends to list its stock on NYSE American under the ticker TZRO. That timetable depends on shareholder approvals, applicable regulatory consents, the effectiveness of the Form S-4 registration statement, and listing approval, among other conditions. The boards have approved the agreement. tZERO also says it has support agreements from shareholders representing approximately 62% of its capital on a fully diluted basis.

A $350 million valuation with a contingent component

The announced terms value tZERO's equity at $350 million before new capital. This includes up to $25 million linked to specified milestones. That component should therefore not be treated as an amount already secured. Existing tZERO shareholders are expected to retain their entire exposure by rolling 100% of their equity interests into the combined company. The announced valuation is a transaction term and does not guarantee a future stock price.

The release refers to up to approximately $231 million held in FG Imperii's trust account, before expenses and subject to redemption requests from its public shareholders. The amount ultimately available could therefore be lower. A forward purchase arrangement covering up to 2.5 million shares is also planned with FG Merchant Partners LP, subject to definitive documentation. An FG Imperii affiliate has also contributed capital to tZERO's previously announced funding round.

From tokenized securities to regulated market infrastructure

Through its subsidiaries and technology, tZERO provides services covering the issuance, trading, custody, and settlement of tokenized securities. Tokenization represents rights to an asset using digital infrastructure; it does not eliminate the rules applicable to the security concerned. The company describes, among other capabilities, an SEC-registered broker-dealer, an alternative trading system, and transfer agent services. For derivatives, it mentions a CFTC-registered derivatives clearing organization, while its application for designated contract market status remains pending.

According to the companies, the expected capital would strengthen the balance sheet, expand infrastructure, and support commercial growth. CEO Alan Konevsky is expected to continue leading the combined company after completion. For readers following finance's adoption of blockchain, the central development is an infrastructure provider's proposed access to public markets. Completion, net financing, and outstanding approvals remain the points to monitor; the announced agreement alone does not demonstrate widespread adoption of tokenized securities.
