Super League: Shareholders Approve Metaplanet's Investment Project
Super League shareholders have approved the proposals related to the planned contribution of 2,100 bitcoins by Metaplanet. The creation of Superplanet remains subject to the closing of the transaction.

The vote marks a step forward in the project
Super League Enterprise announced on October 19, 2026 that its shareholders had approved the proposals linked to the strategic investment envisaged by Metaplanet. The vote took place at the meeting of October 16. The agreement provides for the contribution of 2,100 bitcoins and US$2.5 million in cash by Metaplanet’s U.S. subsidiary at the time of closing. This approval constitutes a governance milestone. It does not mean that the bitcoins have already been transferred nor that all conditions of the transaction have been satisfied.
The press release foresees a closing in the fourth quarter of 2026, subject in particular to the formalities required by Nasdaq. Upon completion, Super League must be renamed Superplanet and will use the ticker symbol SUPA. The advertising and media‑activation activity must continue in a separate segment. The announced transformation therefore concerns the organization and financial strategy of the company; it should not be presented as the immediate disappearance of its existing operations or as a name change already effective on the day of the vote.
A contribution of already‑held bitcoins
Super League’s documents specify that the bitcoins are to be contributed in kind. This method differs from a fundraising followed by purchases on a platform: the group transfers assets it already owns. It does not, by itself, constitute a new request for 2,100 BTC on the market. The number of promised bitcoins must also be separated from their valuation in dollars. The same contribution can change in value between the signing of the agreement and its closing, without the planned quantity being altered.
In exchange for the initial contribution, Metaplanet is to receive 44,859,400 ordinary shares, based on a subscription price of US$3 per share. Super League indicates that this number was set using the reference bitcoin price established in August and will not vary with fluctuations occurring before closing. For shareholders, the new issuances and the associated rights therefore count as much as the size of the announced reserve. Exposure to bitcoins through a company is not reduced to the number of tokens recorded on its balance sheet.
Additional rights distinct from received financing
The agreement also includes preferred securities and subscription warrants. An additional investment option of up to US$210 million is provided for a period of twenty‑four months after closing, through subscription of specific securities. This is a future right, not cash already received. The exercise conditions, the categories of securities and the governance rights must be distinguished from the initial contribution. Potential amounts in an agreement do not necessarily describe the resources actually available at any given moment.
Metaplanet has also agreed to a five‑year holding commitment for certain shares received in the transaction, subject to the stipulated exceptions. This commitment does not eliminate bitcoin’s volatility nor the risks inherent to Super League’s business. Future statements will allow tracking of the satisfaction of closing conditions, the transfers actually carried out, and the resulting capital structure. Until then, the shareholders’ vote confirms their agreement with the presented proposals, without turning the announced project into an already completed operation.
