Binance.US: financing under consideration, with no confirmed raise
A potential financing of up to $100 million was reported on 15 October. The figures remain negotiating objectives, distinct from a completed transaction.

Reported discussions rather than a completed transaction
Binance.US is reportedly seeking to raise up to $100 million in a private transaction targeting a valuation of approximately one billion dollars, according to Bloomberg reporting published on 15 October 2026 and relayed by Cointelegraph. The initial report relies on a person familiar with the matter. As of 19 October, the documents consulted do not establish that this search for capital is a completed raise or identify investors who have actually signed.
The amounts must therefore retain their conditional character. A target sum can change during negotiations, and a target valuation is not a publicly observable price available continuously. Without detailed contractual conditions, it reveals neither the percentage of capital sold nor rights granted to new shareholders. Nor does it measure funds available to platform users or the value of their cryptoassets.
An official precedent dates to 2022
The verifiable comparison comes from a Binance.US announcement dated 6 April 2022. The company then announced the closing of its first external financing, exceeding $200 million, at a stated valuation of $4.5 billion. Named investors included RRE Ventures, Foundation Capital, VanEck and Circle Ventures. That was a transaction the company itself announced as completed.
Comparing this precedent with October's reported objective may signal a changed context but is insufficient to establish an exact decline in the value of every holding. Valuation methods, share counts and contractual protections may differ. A new transaction will become fully comparable only with its final conditions. The one-billion-dollar figure currently represents a target rather than an assessment validated by a completed sale.
The media report describes an intention to develop the US business and regain ground against competitors. This remains the objective attributed to the company. Potential financing does not prove that market share has already increased or that authorisations needed for new services have been obtained. Commercial announcements and financing documents answer different questions.
Distinguishing companies and US proceedings
Regulatory history also requires avoiding conflation of all entities using the Binance brand. The criminal case presented by the US Justice Department in November 2023 concerns Binance Holdings Limited, operator of Binance.com. That company pleaded guilty to violations involving, in particular, anti-money-laundering and sanctions requirements, and agreed to approximately $4.3 billion in penalties. This amount does not describe a Binance.US financing round.
Another, civil case concerned Binance Holdings, BAM Trading Services, BAM Management US Holdings and Changpeng Zhao, among others. On 29 May 2025, the Securities and Exchange Commission announced a joint move to dismiss it with prejudice. It explained the choice through its discretion and enforcement policy. Closure of that separate case confirms neither October's reported financing nor any general guarantee concerning industry activities.
Our reading is that the next decisive information will be an official announcement specifying whether an agreement was reached, for what amount and on what terms. Until then, the case illustrates a reported search for capital in a competitive market. Preserving this distinction allows Binance.US's strategy to be followed without turning confidential discussions into money already received.
